By using the CloudBees AI Features, you ("You" or "Customer") agree to this CloudBees AI Schedule, the CloudBees Terms of Service, including the https://www.cloudbees.com/privacy-policy and the CloudBees Data Processing Agreement (collectively, the "Agreement"), all of which govern Your use of the AI Features, except to the extent that You and CloudBees have entered into a separate written agreement governing Your Use of the CloudBees Products and Services. Capitalized terms not defined here have their respective meanings given in the CloudBees Terms of Service. Solely with regard to the AI Features, this AI Schedule supersedes the terms of any other license or agreement between You and CloudBees for other products and services provided to You by CloudBees. By accessing and/or using the AI Features You acknowledge that this AI Schedule takes precedence over any conflicting terms from any other licenses or agreements between You and CloudBees. CloudBees reserves the right to modify this AI Schedule from time to time.
1. Input and Output
1.1 As an artificial intelligence ("AI") product, the AI Features generate AI Output in response to AI Input You provide. AI Input and AI Output are Customer Data under the Agreement. CloudBees may not use AI Input or AI Output to train its LLMs.
1.2 CloudBees Disclaimers. AI Output is generated by AI, including by using technology provided by third-parties including but not limited to AWS Bedrock, OpenAI, and GitHub (collectively "Third-Party Products"). CloudBees makes no warranty as to the accuracy, completeness or reliability of AI Output or that AI Output does not violate third-party rights or laws. Due to the nature of the AI offerings, (i) AI Output may not be unique or exclusive to Customer and its Users, (ii) the same or similar Input may yield differing AI Output, and (iii) AI Output does not represent CloudBees' or its subcontractors' or subprocessors' views.
2. Customer Responsibilities and Restrictions
2.1 You are responsible for the use of AI Output, including determining whether AI Output is appropriate for Your intended use. You are responsible for Your use of Agent Actions, including determining whether any operations performed by Agent Actions are appropriate for that use. For the purposes of this AI Schedule, "Agent" means autonomous or semi-autonomous software code performing operations on behalf of the User.
2.2 You must not use Agents in a manner that either violates third-party rights or applicable law or is intended, or would reasonably be expected, to do so.
2.3 You must not and must not permit anyone else to: (i) provide Input that either violates third-party rights or Law or is intended, or would reasonably be expected, to generate AI Output that does so; (ii) provide AI Inputs that include personal data of children under 13 or any age of digital consent under applicable law; (iii) use AI Output in a manner that You know, or reasonably should know, violates third-party rights or applicable law; (iv) use the AI Output in any manner that is likely to lead to physical harm if the AI Output is inaccurate or inappropriate; or (v) represent that AI Output is human generated or approved or endorsed by CloudBees or its subcontractors or subprocessors.
3. AI Features Interoperability with CloudBees Products and Third-Party Products
3.1 The AI Features include features designed to connect and interoperate with certain other CloudBees Products and Third-Party Products. CloudBees does not make any warranties about current or future interoperability with any specific Third-Party Products. When using the AI Features, the AI Features send Customer Data and other data to Third-Party Products. The Third-Party Products providers will process such data according to their terms and will send the data back to the AI Features. Data sent to the AI Features may continue to be subject to the Third-Party Products' terms, and is subject to the Agreement.
4. Disclaimers
THE AI FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT ANY WARRANTY, CONDITION, OR INDEMNITY OF ANY KIND. YOU ACKNOWLEDGE THAT AI OUTPUT AND AGENT ACTIONS ARE GENERATED BY MACHINE LEARNING CAPABILITIES AND FUNCTIONALITY, AND CLOUDBEES MAKES NO WARRANTY OR GUARANTEE AS TO THE ACCURACY, COMPLETENESS OR RELIABILITY OF THE AI OUTPUT OR AGENT ACTIONS. If the disclaimers in this Section or Section 2.1 are unenforceable under applicable law, You must not use the AI Features, and CloudBees may terminate Your access to the AI Features.
5. Intellectual Property
You represent and warrant that You have all rights and permissions to provide AI Input to the AI Features. You retain all title, rights, and interest in the AI Input and AI Output to the extent permitted under applicable laws. Notwithstanding the foregoing, all rights, title, and interest in and to all intellectual property rights in the AI Features are, as between You and CloudBees, retained by CloudBees to the extent permitted under applicable laws.
